Intercad Designer's Tool Kit Agreement

ATTENTION: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE YOU DOWNLOAD THIS PRODUCT.

NOTE: By Accepting, installing, uploading, downloading or using this product including all machine readable materials, user manuals, programming guides and other documentation ("Product") provided to you by Intercad Pty Ltd, you represent that, if you are not installing, uploading, downloading or using the Product in an individual capacity, you are duly authorized to represent the legal entity that orders the Product or for whose benefit you are installing, uploading, downloading or using the Product or services (as an individual or in such representative capacity, the "Corporate End-User"); represent that the Corporate End-User is the legal entity identified in the applicable quotations, purchase orders, invoices and other documentation related to the acquisition of the Product or services; agree that you will personally refrain from violating the terms of this Product Agreement ("PA"); and conclude a legally binding agreement based on the terms of this PA between INTERCAD PTY LTD and the Corporate End-User. 
If You do not agree with any of the terms of this PA, INTERCAD PTY LTD does not grant any licenses to the Product; use of the Product in the absence of a license constitutes an infringement of INTERCAD PTY LTD's intellectual property rights.

In the remainder of this PA, the Corporate End-User is referred to as "You."

1. LICENSE.

1.1 Grant
Subject to the terms and conditions of this PA, INTERCAD PTY LTD hereby grants You a personal, non-exclusive, nontransferable and limited license to use internally the Product for internal purposes only.

1.2 Term
The license granted hereby begins upon installation of the Product and continues for a period of 365 days, unless sooner terminated hereunder or as limited by this agreement. Upon termination of license period, INTERCAD PTY LTD reserves the right to grant You an extension of the evaluation period up to ninety (90) days.

1.3 No Copies
You shall not copy or modify any portion of the Product.

1.4 Other Limitations
You shall not rent, lease, loan, sell or otherwise distribute or transfer the Product. You may not: a) modify or create derivative works of the Product; b) reverse engineer or disassemble the Product; or c) decompile or otherwise attempt to derive the source code for the Product.

1.5 No Support
INTERCAD PTY LTD is under no obligation to support the Product or to provide updates. If INTERCAD PTY LTD, at its sole option, supplies updates to You, the updates will be considered part of the Product, and subject to the terms of this PA.

2. CONFIDENTIALITY - OWNERSHIP.

2.1 Title
Except as expressly provided in Section 1.1 (Grant), INTERCAD PTY LTD retains title, ownership and all rights and interests in and to the Product. INTERCAD PTY LTD does not sell the Product or any copies thereof, but grants only the limited license as provided herein.

2.2 Proprietary Information
You agree that the Product and all computer code, inventions, algorithms, know-how and ideas embodied in or by the Product and all other business, technical and financial information You obtain from INTERCAD PTY LTD, whether designated confidential or not (hereinafter referred to as ”Proprietary Information“) are the confidential property of INTERCAD PTY LTD.

2.3 Non-Disclosure
You shall not provide or disclose or otherwise make available the Product or any portion thereof in any form to any third party. You shall be obligated to retain in confidence the Product, except for any published user manual(s) you may have received from INTERCAD PTY LTD and except for Product information which is publicly known, or lawful received from a third party, or known by you prior to the date you received this Product.
